Services and Deliverables
Project Scope
The scope of the project, including deliverables, timelines, and costs, will be outlined in a written agreement between you and ITHelm. Any changes to the project scope must be agreed upon in writing by both parties.
Delivery and Acceptance
Upon completion of the project, we will deliver the final product to you for review. You will have a specified period (as outlined in the agreement) to review and provide feedback. If you do not provide feedback within this period, the deliverable will be deemed accepted.
Fees and Payment
Payment Terms
Fees for our services will be outlined in the project agreement. Payments are due according to the schedule specified in the agreement. Late payments may incur interest charges at a rate specified in the agreement or the maximum rate permitted by law.
Taxes
You are responsible for all applicable taxes, including but not limited to sales, use, and value-added taxes, associated with our services.
Intellectual Property
Ownership
Unless otherwise agreed in writing, all intellectual property rights in the deliverables shall be owned by ITHelm until full payment has been received. Upon full payment, ownership of the deliverables will transfer to you.
License
You grant ITHelm a non-exclusive, worldwide, royalty-free license to use your intellectual property solely for the purpose of providing our services.
Confidentiality
Confidential Information
Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of the project. This obligation shall survive the termination of the agreement.
Exclusions
Confidential information does not include information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law.
Warranties and Disclaimers
Limited Warranty
We warrant that our services will be performed in a professional and workmanlike manner. If any deliverable does not conform to this warranty, we will use commercially reasonable efforts to correct the non-conforming deliverable.
Disclaimer
Except as expressly provided in these Terms, our services are provided “as is” and we disclaim all other warranties, whether express or implied, including the warranties of merchantability and fitness for a particular purpose.
Limitation of Liability
To the fullest extent permitted by law, in no event shall ITHelm be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; and (c) any interruption or cessation of transmission to or from our services.
Indemnification
You agree to indemnify and hold ITHelm, its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of our services or your violation of these Terms.
Termination
Termination by Client
You may terminate the agreement at any time by providing written notice to ITHelm. You will be responsible for payment of all services rendered up to the date of termination.
Termination by ITHelm
We may terminate the agreement if you breach any of these Terms and fail to cure such breach within a specified period after receiving notice from us. Upon termination, all rights and obligations will cease except for those that should reasonably survive termination.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the state or country where ITHelm is headquartered, without regard to its conflict of law principles.
Dispute Resolution
Any disputes arising out of or related to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
Changes to Terms
ITHelm reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
